            1. Introduction and Acceptance

            1. These Terms and Conditions (โ€œAgreementโ€) constitute a legally binding contract between the customer (โ€œClientโ€, โ€œyouโ€, โ€œyourโ€) and The Place Toronto (โ€œthe Companyโ€, โ€œweโ€, โ€œusโ€, โ€œourโ€) regarding your access to and use of our products and services, including but not limited to custom cakes, desserts, and all confectionery products (โ€œProductsโ€ or โ€œServicesโ€), whether accessed through our website, in person, or by any other means.
            2. By accessing, browsing, or using our Services, or by placing an order, you expressly acknowledge that you have read, understood, and agreed to be unconditionally bound by these Terms and Conditions, including all incorporated policies by reference. If you do not agree to any part of these Terms and Conditions, you must not use our Services or place any order.
            3. The Company reserves the right, in its sole discretion and at any time, to update, modify, or amend these Terms and Conditions without prior notice. Continued use of our Services constitutes your acceptance of any revisions. It is your responsibility to review these Terms periodically.

            2. Product Provision, Pricing, and Payment

            1. The Company offers freshly made, bespoke cakes and desserts, prepared either directly by us or by carefully selected third-party vendors, at our sole discretion.
            2. All prices, fees, and surcharges (including temporary fuel surcharges) are subject to change at any time without notice. We expressly reserve the right to correct any errors or omissions in pricing and to discontinue any product or service at any time.
            3. Payment in full is due at the time of order unless otherwise agreed by us in writing. We accept only the payment methods listed on our website at the time of transaction.

            3. Ordering, Changes, Cancellations, and Refunds

            3.1 Order Confirmation and Processing

            • Orders may only be placed online and will not be binding until confirmed by the Company.
            • All products are made to order. Lead times vary; refer to each product page for specifics.
            • Orders placed after 5:00 PM ET, on Sundays, or statutory holidays will be processed on the next business day.
            • Same-day or next-day options are limited to select products/categories.

            3.2 Changes and Cancellations

            • Standard Products: Changes/cancellations must be requested in writing at least 3 business days prior to the scheduled pickup or delivery date.
            • Custom, Event, or Fondant Cakes: Changes/cancellations must be requested in writing at least 15 days in advance. Orders for custom or event cakes are non-cancellable and non-refundable after confirmation.
            • If a cancellation is approved, only store credit will be issued. Refunds to the original payment method, if approved at our discretion, are subject to a 5% administrative processing fee.
            • No order changes, delivery address modifications, or cancellations will be accepted after production or order processing has commenced.

            3.3 Final Sale, Return, and Refunds

            • All sales are final and non-refundable once order processing has started, except as otherwise required by law.
            • No returns or exchanges will be accepted except in cases of Company-confirmed delivery errors or receipt of incorrect items. In such cases, you must promptly return the item in its original, unused condition for eligibility for replacement or store credit.
            • The Company does not provide refunds, returns, or exchanges based on personal taste, minor decoration or color variation, or any differences resulting from display or storage conditions. Product images are for reference only; actual appearance may vary.
            • The Company has sole and exclusive discretion to determine eligibility for refunds, returns, or exchanges.

            3.4 Claims, Damages, and Issues

            • The Client is obligated to inspect all orders immediately upon delivery or pickup and to notify the Company of any alleged defects, damages, or delivery errors at the time of receipt or, at the latest, within two (2) hours of receipt, as verified by delivery records or "Ready for Pickup" notifications.
            • Failure to report any claim or issue within this period constitutes an unconditional waiver of any right to reject the product or to claim a refund, replacement, or credit.
            • For deliveries by drop-off (including concierge/lobby), the Companyโ€™s delivery photo will be considered conclusive proof of fulfillment. Responsibility and risk of loss transfer to the Client upon delivery.
            • For approved claims, remedies are limited, at the Company's discretion, to exchange or store credit.

            4. Delivery & Pickup Policy

            4.1 Delivery

            • Delivery is available only within defined service areas, as published on our website. Specific delivery times cannot be guaranteed, and any quoted window (e.g., 6:00 PMโ€“10:00 PM) is for reference only.
            • The Client is responsible for providing complete and accurate delivery information. The Company will not be liable for delay, misdelivery, non-delivery, or loss due to incomplete or incorrect addresses.
            • Only one delivery attempt will be made. If the recipient is unavailable, the order will be returned to the store for pickup within 24 hours; no second attempt will be made and no refund provided.
            • For apartment or condo addresses, delivery will be made to the entrance or lobby only.
            • Delivery to commercial locations (e.g., restaurants, hotels, P.O. Boxes) is not permitted.
            • Orders and recipient information cannot be changed after order processing has started.
            • Once a delivery is confirmed via photo or signed receipt, risk and responsibility for the order transfer to the Client.

            4.2 Worry-Free Delivery Guarantee

            • The Client is responsible for ensuring someone is present to accept delivery during the stated window.
            • The Client must inspect the order upon receipt and notify the delivery driver or the Company of any issues immediately, or at the latest within 2 hours of delivery. No claims will be considered after this period.
            • Valid claims may be remedied solely by the Company at its discretion via replacement or store credit.

            4.3 Pickup

            • Pickup is available at designated locations and times. Selected time slots are for reference only and do not guarantee readiness prior to that time. Clients should wait for the โ€œReady for Pickupโ€ email before arriving.
            • Walk-in purchases are accepted, but product availability is not guaranteed without an advance online order.
            • Any unclaimed orders, including those returned from undelivered deliveries, must be collected within 24 hours or will be discarded without refund or credit.

            5. Health, Safety, and Allergens

            • All products are prepared in facilities where common allergens (including but not limited to nuts, gluten, dairy, soy, eggs) are present. The Company cannot guarantee the absence of allergens or cross-contamination.
            • The Client is solely responsible for informing the Company of any allergies or dietary restrictions at the time of order. The Company disclaims all liability for any allergic reactions, sensitivities, or adverse health outcomes arising from consumption of its products.

            6. Online Ordering, Account Security, and Data Accuracy

            • The Client is responsible for providing accurate, complete, and up-to-date information when placing any order or creating any account.
            • The Company disclaims all liability for orders lost or delayed due to inaccurate or incomplete information provided by the Client.
            • The Client is solely responsible for maintaining the confidentiality of their account and for all activities under their account.

            7. Errors, Inaccuracies, and Omissions

            • While the Company strives for accuracy, the website, product descriptions, and all communications may contain typographical errors, inaccuracies, or omissions. The Company reserves the right to correct any errors or inaccuracies at any time, including after an order has been submitted.
            • The Company reserves the right to refuse or cancel any orders affected by such errors, whether or not the order has been confirmed or payment processed.

            8. Limitation of Liability and Indemnity

            • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATED TO THE USE OF, OR INABILITY TO USE, OUR PRODUCTS OR SERVICES, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
            • THE CLIENT AGREES TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS FROM AND AGAINST ANY CLAIM, DEMAND, LIABILITY, DAMAGE, LOSS, OR EXPENSE (INCLUDING ATTORNEYSโ€™ FEES) ARISING OUT OF OR IN CONNECTION WITH THE CLIENTโ€™S VIOLATION OF THESE TERMS OR ANY APPLICABLE LAW OR THIRD-PARTY RIGHT.

            9. Governing Law, and Dispute Resolution

            • This Agreement and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
            • Mandatory Dispute Resolution: In the event of any controversy or dispute arising out of or relating to any purchase, order, or use of our Services, you agree to first attempt to resolve the matter amicably and in good faith by contacting us at Contact@ThePlaceToronto.com. If a resolution cannot be reached within thirty (30) days, you may pursue your claim in a court of competent jurisdiction in Ontario or, at our sole discretion, through binding arbitration.

            10. Severability

            • If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
