            1. Introduction and Acceptance of Terms
            1.1 The terms and conditions set forth in this agreement ("Terms and Conditions") govern the use of the services provided by The Place Toronto ("the Company", "we", "us", "our"), whether accessed online, in-store, or through any other means. These services include, but are not limited to, the purchase of our custom-made cakes and other confectionery products (collectively, "the Services").
            1.2 By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be unconditionally bound by these Terms and Conditions. If at any point you do not agree with any part of these Terms and Conditions, you must immediately cease usage of the Services.
            1.3 We reserve the right to change, modify, or amend these Terms and Conditions at any time without prior notice. Your continued use of the Services following any such changes signifies your acceptance of the revised Terms and Conditions.

            2. Service Provision and Sale
            2.1 The Company strives to provide high-quality bespoke cakes and other confectionery products, either made by us or from thrid-party, to our clients. In engaging with the Company for these Services, the client agrees to the stipulations set forth in this Agreement.
            2.2 Pricing for our products is subject to change without notice at our sole discretion. We reserve the right to correct any pricing errors that may inadvertently occur. We also reserve the right to discontinue any product or service offering at any time without prior notice.
            2.3 All payments for the Services must be made at the time of ordering unless otherwise expressly stated by us.

            3. Ordering, Cancellation, and Refund Policy
            3.1 Due to the nature of our products, all sales are final. Once an order has been placed and payment received, it cannot be cancelled, altered, returned or refunded.
            3.2 All cake orders require a minimum lead time of in order to be fulfilled. We reserve the right to reject any orders that do not adhere to this requirement.
            3.3 Any requests for alterations to existing orders must be submitted in writing and are subject to our approval and additional charges.

            4. Health, Safety, and Allergens
            4.1 The Company and third-parties operate in an environment where allergenic ingredients including, but not limited to, nuts, wheat (gluten), and dairy are present. While we exercise a high level of care and adopt stringent protocols to minimize cross-contamination, we cannot guarantee that our products are completely free of these allergens.
            4.2 Clients are responsible for informing us of any specific dietary requirements or allergies at the time of order placement. The Company accepts no liability for any allergic reactions caused by consuming our products.

            5. Online Ordering and Account Management
            5.1 We offer the option for clients to place orders online. By placing an order online, the client warrants that all data provided is accurate, up-to-date, and complete.
            5.2 Clients may be required to create an online account to access certain services or areas of the site. The client is responsible for maintaining the confidentiality of their account information and for all activities that occur under their account. Clients agree to notify us immediately of any unauthorized use of their account or password, or any other breach of security.

            6. Delivery and Shipping
            6.1 We offer delivery services by delivery partner within a specific range, as detailed on our website. The client is responsible for providing a complete and accurate delivery address.
            6.2 We shall not be held liable for any delays in delivery due to circumstances beyond our control, including, but not limited to, weather, traffic, or courier delays.
            6.3 We reserve the right to dispose the items due to incomplete or incorrect delivery details provided by the client, or in the event the recipient is not available at the time of delivery. No re-delivery will be made.

            7. Errors, Inaccuracies, and Omissions
            7.1 While we strive to provide current, accurate, and complete information on our website, there may be instances where errors such as typographical mistakes, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, and availability may occur.
            7.2 We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information on the site at any time without prior notice. We further reserve the right to refuse or cancel any orders placed for products listed at incorrect prices or containing any other incorrect information or errors.

            8. Limitation of Liability and Indemnity
            8.1 Under no circumstances shall the Company, or its directors, officers, employees, affiliates, agents or suppliers, be liable for any direct or indirect losses or damages arising out of or in connection with the use of or inability to use the Services.
            8.2 The client agrees to indemnify, defend and hold harmless the Company and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of the client's breach of these Terms and Conditions or the documents they incorporate by reference, or the client's violation of any law or the rights of a third-party.

            9. Governing Law and Jurisdiction
            9.1 These Terms and Conditions and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Ontario, Canada. Any disputes relating to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
